01About these terms

These Terms and Conditions are an agreement between you and Carrot LLC, doing business as WorkWand. WorkWand is a brand of Carrot LLC. In these terms, "WorkWand," "we," "us" and "our" mean Carrot LLC, doing business as WorkWand. "You" means the person or business using our website or services.

By using workwand.ai, requesting a free audit, or buying our services, you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the site or services.

Our services are for businesses. If you accept these terms for a business, you confirm you are allowed to bind that business. You must be at least 18.

02Our services

WorkWand builds and runs done-for-you automation for small businesses. Services may include:

• An AI speed-to-lead assistant that texts, emails and calls your leads.
• An AI receptionist and missed-call text-back.
• A review engine that asks your customers for reviews.
• Google Maps ranking work.
• Quotes and estimates automation.
• Back-office automation.
• Websites.
• A reporting dashboard.

The exact work, deliverables and price for your business are set out in a written proposal. If your proposal and these terms disagree, the proposal controls for that engagement.

03The free audit

The automation audit is free. There is no obligation to buy anything. We do not ask for payment details to book it.

What we share in an audit, such as recommendations, time estimates and price ranges, is our opinion based on what we learn. It is not a promise of results.

04Our guarantee, and what we don't promise

90-day Google Maps guarantee

This guarantee applies to our managed Google Maps ranking service.

• Starting point. When your service starts, we run a Google Maps scan of your area: the same search term, from the same grid of spots, around your business. We share it with you. It counts the spots where you show up in the top 3.
• The check. 90 days after your service starts, we run the same scan again and share it with you.
• The guarantee. If the 90-day scan does not show you in the top 3 at more spots than the starting scan, we waive the fee for your next month of that service. This is a one-time credit, not a cash refund.
• What it needs from you. Your account is paid up and in good standing for those 90 days. You gave us the access we asked for to your Google Business Profile and website. You did not change your business name, address, main category or website during those 90 days without telling us. Your Google Business Profile was not suspended for a reason outside our work.

• No one can guarantee a specific Google ranking. Google decides its own results and changes them often. We do not promise any position in Google Search or Google Maps.
• We do not promise a specific number of leads, calls, booked jobs, reviews or new clients.
• We do not promise any specific savings, payroll reduction, revenue or profit.
• Examples, scans and numbers on our website or in an audit are examples or estimates, not promises.
• AI tools can make mistakes. You are responsible for reviewing what goes out under your name, and you can ask us to change it at any time.

05Your responsibilities

• Give us accurate, complete information, and keep it current.
• Give us the access we need to do the work, such as logins, calendars and contact lists.
• Review and approve what we build before it goes live, and tell us when something in your business changes.
• Make sure you have the rights to any content, logos and data you give us.

Consent and messaging laws

• Only give us contacts who have agreed to hear from your business in the way we will contact them.
• Honor every opt-out request right away, and tell us about any opt-out you receive directly.
• We may pause or change any message or campaign that we believe breaks the law or carrier rules.

06Fees and billing

• Prices are set in your written proposal.
• Monthly services are billed in advance, at the start of each billing period.
• Any third-party costs that are billed separately will be listed in your proposal.
• You are responsible for any taxes that apply to your purchase.
• If a payment is late, we may pause services until the account is current.

07Cancellation

Either of us can cancel monthly services by giving written notice. The notice period is set in your proposal. Unless your proposal says otherwise, cancellation takes effect at the end of the billing period in which the notice period ends, and fees already paid are not refunded.

We may suspend or end services right away if you break these terms, do not pay, or use our services in a way that breaks the law or carrier rules.

When services end, we will help you export your contacts and data.

08Who owns what

• You own your business data and accounts. That includes your customer and contact lists, your Google Business Profile, your domain, the content you give us, and accounts in your business's name. If you leave, your contacts and accounts go with you.
• We own our tools. WorkWand owns its templates, workflows, scripts, prompts, software, methods and know-how, including improvements we make while working with you. While you are a client, you may use them as part of our services.
• You let us use your name, logo and content only as needed to provide the services.

09Acceptable use

You agree not to use our website or services to:

• Send spam, or contact anyone who has not agreed to hear from you.
• Send content that is illegal, false, misleading, hateful or harassing, or that wireless carriers do not allow.
• Break any law, or anyone else's rights.
• Try to hack, overload, copy, scrape or take apart our systems.

We may suspend services if we believe these rules are being broken.

10Third-party platforms

Our services run on third-party platforms, such as our CRM and marketing platform, phone and text carriers, email delivery providers, AI model providers and Google. Your use of those platforms may also be covered by their own terms. We are not responsible for their outages, errors or rule changes, but we will work to fix any problems they cause in our systems.

11Disclaimer

Except as stated in your written proposal, our website and services are provided "as is" and "as available," without warranties of any kind, to the fullest extent the law allows.

12Limitation of liability

To the fullest extent the law allows, WorkWand is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.

13Indemnity

You agree to defend and protect WorkWand, Carrot LLC, and their owners, employees and contractors from claims, losses and costs (including reasonable legal fees) that come from:

• Messages sent on your behalf to people who did not give you consent.
• Your breaking the TCPA, the CAN-SPAM Act, any other law or carrier rules.
• The content and data you give us.
• Your breaking these terms.

14SMS terms

Program name

WorkWand. Messages are sent by WorkWand, a brand of Carrot LLC.

What we send

• Account, appointment and service messages: updates about your audit request, appointment confirmations and reminders, account and service notices, and replies to your questions.
• Marketing messages: occasional offers and news about WorkWand services. Sent only if you separately opted in to marketing texts.

How you opt in

You opt in by entering your phone number and checking a consent box on our form at workwand.ai. There is one box for account and appointment texts and a separate box for marketing texts. Both start unchecked. Neither is required to submit the form.

• Opting out: reply STOP to any message. You will get one message confirming you are opted out, and no more texts after that. To join again, reply START or opt in on our form.
• Help: reply HELP, call +1 727-620-6261 or email [email protected].
• Carriers: carriers are not liable for delayed or undelivered messages.
• Consent is not a condition of purchase. You never have to agree to texts to buy anything from us.
• Privacy: see our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.

Texts sent for our client businesses

If you get a text from a business that uses WorkWand, that business sent it and is responsible for having your consent. Reply STOP to stop texts from that number, or contact that business directly.

15Privacy

Our Privacy Policy explains how we collect and use information. It is part of these terms.

16Governing law

These terms are governed by the laws of the State of Florida and applicable United States law, without regard to conflict of law rules. Any dispute will be handled in the state or federal courts located in Florida, and you and we agree to those courts' jurisdiction.

17Changes to these terms

We may update these terms from time to time. When we do, we will change the effective date at the top of this page. Using our website or services after a change means you accept the updated terms. Changes do not alter a signed proposal unless both of us agree in writing.

18General

• These terms, the Privacy Policy and any written proposal are the whole agreement between us about our services.
• If a court finds part of these terms cannot be enforced, the rest still applies.
• If we wait to enforce a right, we have not given it up.
• You may not transfer this agreement without our written consent.
